Terms of Service

These Terms of Service ("Terms") govern the use of our services and the contractual relationship between Musab ("we", "us" or "our") and the client ("you", "your" or "client"). By using our services, you agree to these terms.

1. Services

1.1 Scope of services

Musab offers the following services:

• Web Development: Websites, web applications, and custom platforms
• AI Automation: Workflow automation and AI integrations
• Visual Content: Corporate photography and visual content creation

1.2 Project Setup

Each project is defined in a separate project agreement specifying:

• Scope of work (deliverables)
• Timeline and milestones
• Price and payment terms
• Specific conditions or exceptions

2. Pricing and Payment

2.1 Quotation

All prices are:

• In Euros (€) unless stated otherwise
• Exclusive of VAT (21%) unless stated otherwise
• Valid for 30 days after quotation

2.2 Payment Terms

Standard payment terms:

• Small projects (<€5,000): 50% upfront, 50% upon delivery
• Medium projects (€5,000-€15,000): 30% upfront, 40% midway, 30% upon delivery
• Large projects (>€15,000): Monthly billing based on progress
• Retainer/maintenance: Monthly advance payment

Payment term: 14 days after invoice date.

2.3 Late Payment

In case of late payment:

• Work may be suspended after 7 days of default
• Statutory interest (2% per month) will be charged
• Extrajudicial collection costs (minimum 15% of invoice value)

3. Project Execution

3.1 Timeline and deadlines

• Estimated timelines are indicative, not guarantees
• Delays by client (content, feedback, approvals) extend deadlines proportionally
• Force majeure (illness, external factors) may affect deadlines

3.2 Client Responsibilities

The client is responsible for:

• Timely delivery of content, materials, and feedback
• Clear and complete briefing
• Access to necessary systems and accounts
• Final approval within agreed timeframe

3.3 Revisions

• Standard included: 2 revision rounds per deliverable
• Extra revisions: €75-€150/hour depending on complexity
• Scope changes outside original agreement are billed separately

4. Intellectual Property

4.1 Transfer of Ownership

Upon full payment:

• Client receives ownership of final deliverables (code, design, content)
• Musab retains ownership of tools, frameworks, and reusable components
• Source code is transferred unless agreed otherwise

4.2 Portfolio Rights

Musab may use projects for:

• Portfolio showcase (website, social media, case studies)
• Marketing material
• Award submissions

NDA projects are excluded unless explicitly approved.

4.3 Third-party Licenses

Client is responsible for:

• License fees for third-party software/plugins
• Stock photos, fonts, and premium assets
• API licenses and hosting costs

5. Hosting and Maintenance

5.1 Hosting

• Standard deployment via Vercel/Netlify (client account)
• Custom hosting setups possible (extra costs)
• Client retains full control over hosting accounts

5.2 Maintenance Contracts

Optional monthly maintenance packages:

• Basic: Security updates, bug fixes, monitoring
• Pro: Basic + content updates, performance optimization
• Enterprise: Pro + dedicated support, priority SLA

6. Warranties and Liability

6.1 Warranty Period

• 30 days after delivery: free bug fixes for original scope
• Exclusively for bugs, not for new features or changes
• Does not apply to changes by client or third parties

6.2 Limitation of Liability

Musab is not liable for:

• Indirect damages (loss of revenue, reputational damage)
• Damages by third-party services or hosting
• Damages by client modifications or negligence
• Data loss (client responsible for backups)

Maximum liability: the invoiced amount of the specific project.

6.3 Force Majeure

Musab is not liable for delay or non-performance due to force majeure (illness, pandemic, war, natural disasters, etc.).

7. Cancellation and Termination

7.1 Cancellation by Client

• Before project start: no costs (except paid deposit minus €250 admin fee)
• After project start: costs for work done + 25% of remaining project value
• All paid invoices remain due

7.2 Termination by Musab

Musab can terminate contract upon:

• Non-payment after 2 reminders
• Material breach of contract by client
• Unreasonable behavior or communication

Upon termination: client pays for work done, no refund of already paid amounts.

8. Confidentiality

• Both parties treat confidential information discreetly
• Musab uses client data only for project purposes
• Separate NDA possible for sensitive projects
• Confidentiality remains in force after project end

9. Disputes and Applicable Law

9.1 Dispute Resolution

In case of disputes:

• First good-faith attempt at negotiation (30 days)
• If unresolved: mediation via recognized mediator
• Last resort: legal proceedings

9.2 Applicable Law

These terms are governed by Dutch law. Rotterdam Court has exclusive jurisdiction.

10. Changes to Terms

We may modify these terms from time to time:

• New versions are published on this page
• Material changes are communicated by email
• Existing contracts remain under old terms unless agreed otherwise
